GENERAL TERMS

Definitions:
The Client: The company or individual requesting the services of WebTech-Global.WebTech-Global: Company / Primary Designer / Site Owner & Employees or Affiliates.
1.1 Procedures:
WebTech-Global strictly follows some procedure pre-during and post the project that includes:
a) Sharing proposal with client of the desired services the client wants WebTech-Global to offer
b) The client completes requirement form online or offline (whichever way WebTech-Global wants the client to do so)
c) Signing up a contract between WebTech-Global and a client for the specific service that the client wants to hire WebTech-Global for.

1.2 This Agreement
This agreement constitutes the sole agreement between WebTech-Global and the client for the service WebTech-Global is hired for. Any additional work not specified in this contract must be authorized by a written request and will be chargeable on actual basis depending upon the complexity of the work. All prices specified in this contract will be honored for 45 days from the date offered. Acknowledgement of agreement after that time will require a review of current pricing and new agreement. This agreement supersedes any prior written or oral agreements between the parties.

1.3 Amendment
This agreement may be modified or amended as required by WebTech-Global.

1.4 Severability
If any provision of this agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this agreement is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed written, construed, and enforced as so limited.

1.5 Waiver of Contractual Right
The failure of either party to enforce any provision of this agreement shall not be construed as a waiver of limitation of that party’s right to subsequently enforce and compel strict compliance with every provision of this agreement.
WebTech-Global reserves the right to refuse service to anyone requesting creation, change or modification of any work for illegal purposes, inappropriate or offensive purposes or any other purpose that in our opinion is inappropriate.

1.6 No Limit on WebTech-Global Website Maintenance Engagements
The User shall agree that any agreement entered into does not prevent WebTech-Global from providing similar services to other clients using the general marketing concepts and the know-how and experience gained here under or from developing/maintaining products or services which might be competitive with the deliverables and materials provided by WebTech-Global.

1.7 Acceptable Payment
WebTech-Global accepts cash, cheque, or direct online money transfer from a bank. Clients may request to pay with an alternative method prior to project completion.

1.8 Unprofessional Conduct
WebTech-Global reserves the right to refuse service to, or communication with the client, if the Client engages in unprofessional conduct with WebTech-Global or its subcontractors. Unprofessional behaviors may include but are not limited to profanity, discrimination, harassment, threats of slander, libel or blackmail, direct solicitation of its employees, or unethical practice. If a Client engages in any of these or other unprofessional practices, WebTech-Global will halt work immediately and resolve unfinished work as per the Refund Policy. WebTech-Global will not tolerate any form of harassment against its employees from customers or third parties and we reserve the right to cancel a contract without refund in the event of unreasonable or inappropriate conduct. This includes threatening behavior and abuse directed towards our employees thereafter any further communication must be via postal mail only.

1.9 Disclaimer and Severability
Notwithstanding anything to the contrary contained in this contract, in no event will WebTech-Global be liable to the Client or any third party for any damages, including any lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of the services agreed upon in this contract. If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.

1.10 Governing Law
This Agreement shall be construed and enforced in accordance with the laws of Victoria, Australia. It is the express intention of WebTech-Global and the Client that the exclusive venue of all legal actions and procedures of any nature whatsoever which relate in any way to this contract shall be either the Trial Court of New Victoria, Australia. The parties agree to waive their right to a trial by jury. The Client consents to said courts having personal jurisdiction over the Client in any action based on this contract.

1.11 Copyrights and Trademarks
The client unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to WebTech-Global for inclusion in social media pages are owned by the Client, or that the Client has permission from the rightful owner to use each of these elements, and will hold harmless, indemnify, protect, and defend WebTech-Global and its subcontractors from any claim or suit arising from the use of such elements furnished by the Client.

1.12 Sole Agreement
WebTech-Global and the Client may have entered a contract for services, either prior to, in conjunction with, or subsequent to the Clients acceptance of these Terms and Conditions. The Client accepts WebTech-Global’s Terms and Conditions as they may be included with this contract. These Terms and Conditions shall be read and interpreted along with any such contract entered by WebTech-Global and the Client.

1.13 Initial Payment & Refund Policy
The Client acknowledges that initial payment of the commencement deposit (as described elsewhere) shall be non-refundable and shall be in consideration of the initial administrative actions taken by WebTech-Global.

1.14 Completion Date
If there is any kind of delay from client side after the commencement of the project then WebTech-Global will not be held responsible and will not be liable to complete the project on time. Also the client will be liable to complete the payment procedures as stated in this contract. If the project is not completed within 30 days of the estimated completion date due to client delays in providing feedback, assets, approvals, content, direction and so forth, we reserve the right to discuss and submit a change order to accommodate unforeseen expenses due to the unplanned extensions of the project. Timelines provided in days/weeks/months/years will be considered as Working Days only which do not include any public holiday(s), Saturday & Sunday of week.

1.15 Subpoenas
WebTech-Global terms and conditions prohibit the disclosure of customer information without the customer’s express written consent except as required to comply with a current judicial proceeding, a court order, subpoena or other legal process served on WebTech-Global. If you require information regarding a WebTech-Global customer you must fax, mail, or serve a valid subpoena on WebTech-Global

NOTE: YOUR SIGNATURE ON A PRINTED COPY OF THIS AGREEMENT IS NOT REQUIRED. YOUR USE OF OUR SERVICES SHALL CONSTITUTE A VIRTUAL SIGNATURE, HAVING THE SAME FORCE AND EFFECT AS IF YOU HAD ACTUALLY SIGNED A PRINTED COPY OF THIS AGREEMENT.

1.16 Contract
The contract between WebTech-Global and the Client will be on terms & conditions, to the exclusion of all other terms and conditions. Any variations to our terms & conditions shall have no effect unless agreed in writing.

1.17 Agreement
The works to be carried out shall be as set out in the WebTech-Global confirmation order email or in our contract with the client.

1.18 Communication
Email will be the method of contact with regard to all communication for all services WebTech-Global offers. It is the Client’s responsibility to inform us of any change in email address so we always have up to date email contact details. WebTech-Global cannot be held liable in any way relating to communication issues if we are not supplied a valid email address. WebTech-Global will acknowledge all emails within 3 working days. If a customer’s conduct via telephone is considered unreasonable we will insist on email communication only. WebTech-Global reserves the right to cancel a contract should customer contact be in breach of our anti-harassment policy. Calls made to our office are monitored and recorded.

1.19 Your Data and Content
Clients are responsible for all data, content, materials and files supplied by Client to WebTech-Global. It is solely Client’s responsibility to store backup of all data, content, materials and files supplied by Client to WebTech-Global on your own server.

1.20 Malware Liability and Restoration

  • In the event of a malware attack, we would like to clarify that we cannot be held responsible as we share admin rights with the user. However, we assure you that we will make every effort to restore the website and eliminate the malware.
  • During the restoration process, there is a possibility that the website may experience temporary downtime. We apologize for any inconvenience caused and assure you that we will work diligently to minimize this downtime.
  • Please note that regaining access to the website and restoring its functionality may require a certain amount of time. We appreciate your patience during this period and assure you that we will work expeditiously to bring the website back online.
  • While we strive to restore the website to its previous state, it is important to understand that there may be instances where data loss occurs. We strongly recommend maintaining regular backups of your website to mitigate potential data loss risks.
  • In the unfortunate event of a complete loss of data, we will attempt to restore the website from the most recent backup available. However, we cannot guarantee a full restoration, as it depends on the availability and completeness of the backup files.
  • Please read and understand these terms and conditions regarding points in relation to malware attacks and website restoration. 

2. Website Design & Development

2.1 Authorization.
The named client is engaging WebTech-Global, as an independent contractor for the specific web design project of developing and/or improving a web site, hereinafter referred to as “web design project” which may be installed on the client’s account on an Internet Service Provider (ISP) / Web Presence Provider (WPP) computer, hereinafter refer to as “Hosting Service” if required to perform services. If required to perform services the client hereby authorizes WebTech-Global to access this account and authorizes the Hosting Service to provide WebTech-Global with “full access” to the client’s account and any other programs needed for this web design project that are included as part of the client’s service agreement/level.

2.2 Acceptable Use.
An acceptable use policy is part of these terms and conditions of hosting any information associated with the domain name. This is necessary because the proliferation of abusive electronic mail and practices generated by a minority of the Internet users can interrupt services. The exhibit with the description of the acceptable use policy is posted on our website and the exhibit is part of these terms and conditions.

2.3 Copyright and Trademarks.
The client unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to WebTech-Global for inclusion in the web design project are owned by the client, or that the client has permission from the rightful owner to use each of these elements, and will hold harmless, protect and defend WebTech-Global and its subcontractors from any claim or suit arising from the use of such elements furnished by the client.

2.4 Website Maintenance.
This agreement allows for minor web site maintenance included to pages over a defined period mentioned in agreement, up to an average of one hour per regular website, including updating lines and making minor changes to a sentence or paragraph. This maintenance is included in the website design project for 1 Year of time period and it does not include updating or replacing nearly all the text from a page with new text, major page reconstruction, new pages, guest books, discussion webs, navigation structure changes, attempted updates by client repairs or web design projects delivered to the client via diskette or any electronic format. The period begins on the date the client’s web design site has been published to client’s hosting service or from the delivery date mentioned in the agreement by WebTech-Global, whichever comes first. If the client’s web design package includes database access using Server Side Script, then very minor page code changes like hyperlinks and textual changes will be accepted under this maintenance plan. Major page code and/or database structural changes will be charged at actual rates decided as per the complexity of the same

2.5 Completion Date.
WebTech-Global and the client must work together to complete the web design project in a timely manner. We agree to work expeditiously to complete the web design project no later than 45 days and a minimum of 15 days after the client has submitted all necessary materials. If the client does not supply WebTech-Global with complete text and graphic content for this web design project within 60 days of the date this agreement was signed, the entire amount of the agreement becomes due and payable. If the client still has not submitted all the required contents within 60 days after signing this agreement, an additional continuation fee of 20% of the total agreement price can be assessed, until the web design project is published or the client cancels the web design project in writing. All our service that we provide during the project of the client is clearly being mentioned in the contract with the client. We do not provide any service apart from the contract if we do then we charge for the same. If there is any kind of delay from client side after the commencement of the project then WebTech-Global will not be held responsible and will not be liable to complete the project on time.

2.6 Project Delivery.
The web site design project delivery shall be completed upon receipt of the payment associated with delivery. Delivery may be accomplished by publishing or making the website live, electronic transfer, or physical media.

2.7 Publishing:
If the Project Delivery includes publishing, WebTech-Global will make a good faith effort to accommodate the client’s requested method of publishing. In the event WebTech-Global is not able to accommodate the request method of publishing the following statements apply. WebTech-Global may use FTP, SFTP or SCP to publish to the site. WebTech-Global provides a single preview on its subdomain after the completion of the project, the website will be switched to Live Mode once the Clients remaining balance is paid in full.

2.8 Electronic Commerce Laws.
The client agrees that the client is solely responsible for complying with such laws, taxes and tariffs, and will hold harmless, protect, and defend WebTech-Global and its subcontractors from any claim, suit, penalty, tax or tariff arising from the client’s exercise of Internet electronic commerce.

2.9 Web Design Project Copyright.
Original web site content specifically requested by the customer and designed under work for hire shall be the intellectual property of the customer once final payment under this agreement and any additional charges incurred have been paid. Rights to clipart, photos, graphics, source code, work-up files and computer programs that are not specifically requested and designed under work for hire are not transferred to the client, and remain the property of their respective owners. WebTech-Global and its subcontractors retain the right to display graphics and other web design elements as examples of their work in their respective portfolios. WebTech-Global shall place a small text link on the footer of a Clients website that simply states the website was designed by WebTech-Global and links to our company website. If in any case client needs to purchase the rights and get the Footer backlink removed then client shall pay a minimum fees of $500 in order to get it removed from website’s footer.

2.10 Payments.
Payments must be made promptly based on the agreed schedule. Delinquent bills may be assessed upto AUD 500 charge if payment is not received within 21 days of the due date. If an amount remains delinquent 45 days after its due date, an additional 10% penalty may be added for delinquency. WebTech-Global reserves the right to remove any web design project from viewing on the Internet until final payment is made. In case collection proves necessary, the client agrees to pay all fees incurred by that process & If the client fails to complete the payment schedule then client will be responsible for paying the expenses we incur in the course of payment recovery (including travel and subsistence expenses, search and filing fees, court fees and barristers’, foreign lawyers’ and other third parties’ fees and expenses). Regardless of the place of signing of this agreement, the client agrees that for purposes of venue, this agreement was entered into in VICTORIA, Australia and any dispute will be litigated or arbitrated in VICTORIA, Australia. Please pay on time. All payments will be made in AUD funds unless agreed upon in writing by both parties.
Typical down payment structure may be as follows:
a) 50% of web design projects at the time of signing the agreement and before commencement of work
b) 50% web design projects overlooking the 3rd preview of the final design made for the client or before publishing.

2.11 Legal Notice.
WebTech-Global does not warrant that the functions contained in the web design project will be uninterrupted or error-free. The entire risk as to the quality and performance of the web design project is with the client. In no event will WebTech-Global be liable to the client or any third party for any damages, including, but not limited to service interruptions caused by Acts of God or any other circumstances beyond our control, any lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of or inability to operate this web design project, failure of any service provider, of any telecommunications carrier, of the Internet backbone, of any Internet servers, your or site visitor’s computer or Internet software, even if WebTech-Global has been advised of the possibility of such damages.

2.12 Data Formats
The client agrees to WEBTECH-GLOBAL’s definition of acceptable means of supplying data to the company. Text is to be supplied to WEBTECH-GLOBAL in electronic format as standard text (.txt), MS Word (.doc), or via e-mail / FTP. Images which are supplied in an electronic format are to be provided in a format as prescribed by WEBTECH-GLOBAL, or e-mail / FTP. Images must be of a quality suitable for use without any subsequent image processing, and WEBTECHGLOBAL will not be held responsible for any image quality which the client later deems to be unacceptable. WEBTECH-GLOBAL cannot be held responsible for the quality of any images which the client wishes to be scanned from printed materials. Additional expenses may be incurred for any necessary action, including, but not limited to, photography and art direction, photography searches, media conversion, digital image processing, or data entry services, color correction and alteration of images. For all images that are being provided in the package by WebTech-Global will be Stock Free images only.

2.13 Database and E-commerce development
WebTech-Global cannot take responsibility for any losses incurred by the use of any software or E-Commerce Store created for the client. Whilst every care has been taken to ensure products are problem free and accurate, the ultimate responsibility lies with the client in ensuring that all software is functioning correctly before use. Where sites are developed on servers not provided by WebTech-Global, the client is expected to provide or seek any information, additional software, support or co-operation pertaining to the server required in order for the site to be correctly developed. Where large ecommerce sites are to be developed, it is the client’s responsibility to provide a suitable testing environment which is identical to the final production environment. The client is expected to test fully any application or programming relating to a site developed by WebTech-Global before being made generally available for use. Where “bugs”, errors or other issues are found after the site is live, WebTech-Global will endeavor (but is not obliged to) to correct these issues to meet the standards of function outlined in the brief.

2.14 Payment Gateway Integration and Shipping
By signing this contract client agrees that WebTech-Global will integrate payment gateway that is agreed upon between the two, and WebTech-Global will not be held responsible if there will be any additional charges incurred in the process, client agrees to provide complete authorization access of admin rights to WebTech-Global. We will add one basic shipping method in the site which will be free to use, while if the client wants to add any other shipping method to the site then client should mention the same before the commencement of the project and the cost for the same will added to the package cost, otherwise the client agrees to pay the cost of the shipping module as per the actual rates.

2.15 Addon Plugin and Feature
If there is any add-on plugin that is required by the client unless agreed upon when signing the agreement then the price of the plugin will be payable by the client. WebTech-Global will charge on actual basis and complexity for any add-on plugin or feature which is not included in the package provided to the client or contract.

2.16 SSL for website
In any case if there is an issue with the security of the website of the client then WebTech-Global will not be held responsible for any loss of content of the site. Clients must install SSL as suggested by WebTech-Global on their site to protect their data and for security reasons.

3. Application Development

3.1  Liability:
WebTech-Global will not be liable for any losses caused by any software and or web and mobile applications that we create for the client. Though we take every care to ensure the products are accurate and perfect, the final responsibility remains with the Client to make sure that all software and products are functioning properly before use.

3.2 Out of Pocket Expense(s)
For all web based and mobile applications that we develop there will be out of pocket expenses involved in the development of the application which shall be paid by client before commencement of project.

3.3 Payment Terms
Payments are divided into 3 parts depending on different phases of project
a) Initial 40% before commencement of the project.
b) Second part payment 30% once the design phase gets completed or as decided in writing.
c) Third part payment 30% will be made by client once QA testing (in house testing) is complete and before the application goes live on application store or on server.

3.4 Timelines
Timeline provided to Client for application development will include QA Testing which is an internal testing of WebTech-Global and in no case includes testing timeline required or done at Client’s end.

3.5 Add-on Charges
Client agrees to pay for any add-on features/plugin or functionality that is not decided/agreed upon before commencement of the work or not mentioned in the quotation provided as per time and complexity involved. If the client fails to complete the payment schedule then client will be responsible for paying the expenses we incur in the course of payment recovery (including travel and subsistence expenses, search and filing fees, court fees and barristers’, foreign lawyers’ and other third parties’ fees and expenses).

3.6 Renewals
Renewals of subscriptions or any recurring cost for plugin(s) shall be paid by the Client, in no case WebTech-Global will be responsible for the renewals unless agreed upon in writing via mail.

3.7 Application Launch
In case of App launching to the app stores if any issue/query is raised in the application due to technical or legal limitation(s) of stores’ policy, then in that case Client bear the charges applicable for any redevelopment, amendment or change in any of the design/development module of the application.

3.8 Commencement
WebTech-Global will not be liable for any time delays in app launching to the app stores and the time involved in App launching is not included in Application design & development timeline. Project commencement timeline initiates once WebTech-Global receives payment as decided and all the prerequisites are submitted from Client’s end.

3.9 Hosting Servers
Where applications and sites are developed on servers that are not provided by WebTech-Global, the Client will be responsible to provide and/ or seek any support, information, additional software and/ or co-operation relating to the server required for application to be developed correctly. For developing large applications, the Client will be responsible to provide a suitable testing environment, identical to the Client’s final production environment.

3.10 Testing
Any application or programming with reference to a website or application developed by WebTech-Global, the Client should fully test them before making the same available for general use. WebTech-Global will make an effort but not oblige to correct errors, “viruses” or issues of any kind are found in the application developed by us after the app is live to meet the standards of app function highlighted in the brief.

3.11 Contract
As per the contract signed the client agrees that WebTech-Global will be providing 60 days of application maintenance or support post application gets live on app stores to rectify any feature or look & feel as per the quotation provided to the client.

4. Website & Application Maintenance

4.1 Authorization
Information and text contained within the web pages shall be authored by the User and submitted to WebTech-Global in final format. If the information and text submitted is not in final format and contains spelling, grammatical errors etc. WebTech-Global may charge the User for additional time needed to correct the errors that should have been corrected before submission. WebTech-Global may make recommendations regarding the content of the web pages, however, the User shall make the final decision and approve the content of the web pages. If there is any kind of delay from client side after the commencement of the project then WebTech-Global will not be held responsible and will not be liable to complete the project on time.

4.2 Types of Maintenance
WebTech-Global website maintenance services constitute changes to the current website and its existing web pages using the current web site theme
There are three kinds of maintenance:
a) Maintenance after web site installation
b) Maintenance due to changing needs;
c) Maintenance due to recurring needs
Maintenance due to changing needs may include minor or major changes to the website. Major changes include additional information/graphics, rewording of pages and changes to graphics due to changing needs. Major changes that affect the entire website will require a new project agreement . Minor changes are changes that do not affect the entire website. Maintenance due to recurring needs includes publication of news reports, press releases, current events, schedule of events, etc. Major & Minor changes are will be solely decided by WebTech-Global as per time & complexity involved after assessment of change

4.3 Inclusions
WebTech-Global maintenance of a website may include one or more of the following that are the result of recurring needs and minor changing needs:
Text changes (such as news, press releases, current events, scheduled events, re-wording of text,etc) Simple maintenance and/or addition of graphics provided by the User to an existing web page (up to 1 hour of work or as specifically confirmed within the sales order). Major changes in graphics layout in an existing website shall be considered a new project.

4.4 Exclusions
Examples of what is not covered under website maintenance:
a) Training – unless previously agreed in writing;
b) Heavy image work and editing, including logo design or redesign;
c) Flash animation creation or editing;
d) New pages or site sections which do not share the existing site design;
e) Major structural or graphical changes that would affect the appearance of the website;
f) e-commerce major customization or plugin addition;
g) Video editing
h) Creation of any new feature, elements, forms or code for any purpose

4.5 Subscription Period
A User may stop using WebTech-Global Website Maintenance services by giving WebTech-Global one month’s notice in writing.

4.6 Timeline(s)
WebTech-Global aims to make requested changes in the website within 48 hours However, there can be no guarantee that the User’s entire request can be completed within 48 hours. WebTech-Global will endeavor to inform the User as soon as possible if changes are likely to take more than 48 hours.

4.7 Ownership and License of Deliverables
WebTech-Global owns all source code and materials developed or created by its staff during any project. Upon payment of all amounts due, WebTech-Global Website Maintenance grants the User a perpetual, non-exclusive, non-transferable license to use the Deliverables and materials developed by WebTech-Global herein for all the Users marketing and advertising needs, but only for the User’s own use. The Deliverables and other materials and the ADM Computer Website Maintenance system may not be sold, transferred or used except as provided herein or with the written permission of WebTech-Global.

4.8 Confidentiality
WebTech-Global will need access to certain confidential information of the Users company, sometimes including future plans, business strategies and other proprietary information (collectively, the “Confidential Information”). WebTech-Global agrees that it will take every reasonable step to ensure that Confidential Information is not divulged, disclosed or communicated to any third party without the prior written consent of the User. Confidential information shall not include information previously known to WebTech-Global Website Maintenance, properly received from a third party or in the public domain.

5. Digital Marketing - Search Engine Optimization & Social Media Optimization

5.1 Authorization:
If the Client is engaging WebTech-Global as an independent contractor for the specific project of marketing a website or a Social Media page, then the Client hereby authorizes WebTech-Global to access the Clients social media admin rights as well as the Clients Google Analytics account. The client also authorizes WebTech-Global to publicize their completed social media accounts to Social Media Platforms & Web search engines, as well as other Web directories and indexes.

5.2 Prior Conditions
a)
The client has no duplicate sites, duplicate content or pages, redirects or doorway pages.
b) The client has not requested or exchanged links with link farms or undertaken any spamming techniques which may harm the web site’s ranking with Google.
c) It is not possible to give a 100% guarantee for any specific result on any search engine or social media, nor can we quantify the level of increased traffic or sales, as a result of the SEO/SMO campaign.
d) All fees are payable in advance and non-refundable under any circumstances.
e) If the client makes any changes to the optimized pages created by WebTech-Global, or does not implement the changes advised by us, any guarantee placed will become void immediately.
f) WebTech-Global follows a strictly ethical SEO/SMO policy and may make void any guarantee should it be discovered that the Client has participated in actions considered undesirable (spamming) by the search engines, such as
• Makes use of hidden links
• Links to link-farms, FFA link pages, etc.
• Uses page redirect or cloaking techniques
• Submits the web pages of the site to the search engines, search directories or other websites without the consent of WebTech-Global
• Uses automated website submission software or websites
• Uses automated reciprocal link programs
• WebTech-Global reserves the right to use client websites, web design, layouts, wireframes and collateral in advertising and or marketing initiatives. This may include portfolio examples on our website, case studies and other promotional initiatives, and discrete links at the footer of the pages on the supplied website until otherwise specifically instructed by the client to not use it.

5.3 Hosting (for SEO)
The Client agrees that their website is not hosted on free web space using domain forwarding (either framed or otherwise).In cases where there is either concern that the current hosting IP address may be part of a ‘bad neighborhood’ or for reasons of optimization, WebTech-Global may request the client to change hosting provider.

5.4 3rd Party Fees
Any fees that the search engines charge to include a listing are to be borne separately by the client. This includes, but is not limited to pay per inclusion charges in directories like Google, Bing, Yahoo! Etc or any fees paid for opting Paid marketing on social media platforms or search engines. If the client fails to complete the payment schedule then client will be responsible for paying the expenses we incur in the course of payment recovery (including travel and subsistence expenses, search and filing fees, court fees and barristers’, foreign lawyers’ and other third parties’ fees and expenses).

5.5 Access to client website or business page
For the purposes of receiving professional SEO/ SMO services, Client agrees to provide the following:
a) Administrative/backend access to the website/Social media business page for analysis of content and structure.
b) Permission to make changes for the purpose of optimization, and to communicate directly with any third parties, e.g., your web designer, if necessary.
c) Unlimited access to website traffic statistics, if established, for analysis and tracking purposes.
d) A email address for the purposes of requesting links (something like [email protected])
e) Authorization to use client pictures, logos, trademarks, website images, pamphlets, content, etc., for any use as deemed necessary by WebTech-Global for search engine optimization purposes.
f) If Client’s site is lacking in textual content, Client will provide additional text content in electronic format for the purpose of creating additional or richer web pages or social media pages. WebTech-Global can create content for pages on demand at additional cost to the Client.

5.6 Loss of Service
The Company accepts no liability for loss of service, unavailability of files, damage of data, misuse of equipment by other clients, failure of any externally managed equipment or communications devices or other services deemed to be beyond the Company’s control. If there is any kind of delay from client side after the commencement of the project then WebTech-Global will not be held responsible and will not be liable to complete the project on time.

6. Graphic Designing

6.1 Commencement 
WebTech-Global will only commence work on a Project after receipt of a non-refundable, 50% deposit of the quoted Project fee from the Client. WebTech-Global will also require 50% payment upon overall approval of the preview design.

6.2 Legality
WebTech-Global shall expect the Client to carry out sufficient research before proceeding with a design. This will include checking that the idea/business will operate legally. It is important that the design is not in any way illegal.

6.3 Contract
It is important for the Client to keep in contact with WebTech-Global throughout the entire Project. If a Client does not make contact for 7 days we will make up to 3 attempts to contact the client by email using the email address specified when the client placed their order. If we do not receive a response to these attempts of contact the Project may be terminated, and the deposit will not be refunded and the balance amount is payable immediately upon Invoice. If the client fails to complete the payment schedule then client will be responsible for paying the expenses we incur in the course of payment recovery (including travel and subsistence expenses, search and filing fees, court fees and barristers’, foreign lawyers’ and other third parties’ fees and expenses). We may levy an AUD 500 admin charge if the client later returns and wishes to continue work on their project.

6.4 Misuse
WebTech-Global is not liable for misuse of images by the Client or any other person’s copying, altering or distributing the images to individuals or other organizations.

6.5 Disclaimer
WebTech-Global cannot be held responsible for anything adversely affecting the Client’s business operation, sales, or profitability that might be claimed as a result of a service offered by WebTech-Global.

6.6 Timeline(s)
WebTech-Global will provide the Client with an expected completion date for the Project if requested. WebTech-Global will endeavor to meet any given deadline, but do not guarantee and are not bound in any way to complete the Project by this date. The expected completion date provided by any employee of WebTech-Global is purely an estimate.

6.7 Addon(s)
Any additional design/revision required will be assessed and charged on actual basis according to the time and complexity involved and charges for the same will be payable in advance.

7. Website Hosting & Domain

7.1 Guarantees
Whilst WebTech-Global offers hosting of websites, no guarantees can be made as to the availability or interruption of this service by WebTech-Global cannot accept liability for losses caused by the unavailability, malfunction or interruption of this service.

7.2 Fees
WebTech-Global reserves the right to refuse to handle, in any way, material which may be deemed offensive, illegal or in any way controversial. Fees relating to web hosting or domain names must be paid prior to the expiration date of the said service. If the fees remain unpaid at the time of expiration, WebTech-Global can cancel the said service and not be liable for any data lost as a result of the cancellation.

7.3 Ownership
A domain name will be registered by WebTech-Global on behalf of the client once we have received the Full deposit of the total amount.

7.4 Renewal
When a Client renews Hosting with WebTech-Global, this also includes domain renewal if the renewal is needed to keep the site functioning and was purchased as part of the Hosting package. If the Client does not renew the Hosting, their domain name could be made available to the public for purchase and WebTech-Global cannot be held liable for this.

7.5 Renewal Terms
Renewal of Hosting is due on a yearly basis. The date of renewal will be annually from the date the website was published in development server(on 1st Draft Preview) starts. The Hosting will not be renewed if WebTech-Global cannot contact the Client or the Client requests for WebTech-Global to not host this site.

7.6 Payment(s)
The Hosting renewal charge must be received within 10 days of the Hosting expiry date. WebTech-Global reserves the right to deactivate any website where the Hosting has expired and the Client has not paid the renewal charge. There will be an admin fee up to AUD 500 set by WebTech-Global for reactivating the website/Hosting. If the client fails to complete the payment schedule then client will be responsible for paying the expenses we incur in the course of payment recovery (including travel and subsistence expenses, search and filing fees, court fees and barristers’, foreign lawyers’ and other third parties’ fees and expenses).

7.7 Warranty
If the Client does not use WebTech-Global Hosting services, then the management and Hosting of the Domain name are the full responsibility of the Client and any warranty related to the project stays void in this case.

7.8 Responsibility
 It is the responsibility of the Client to renew their domain names when due. If a domain name expires, WebTech-Global cannot be held liable for this. However, WebTech-Global will make reasonable efforts to contact the Client regarding domain renewal.

7.9 Transfer
Should a Client wish to move Hosting away from WebTech-Global or transfer a Domain name away from WebTech-Global, an admin charge of AUD 500 may be issued, which must be paid before the transfer takes place.

7.10 Loss
WebTech-Global is not liable for loss, damage or corruption to files or information stored on its servers or individual PCs relating to a Client’s website. The Client is solely responsible for any information or files relating to its website.

7.11 Limitation
Standard hosting provide unlimited space with an INODES limit of 10,000 files for any project unless special requirements are mentioned before commencement of project. In case number of files exceeds the limit, hosting account may get suspended without any notice. 

7.12 Email ID
Upto 2 Free email IDs provided with hosting plan will have a limited space of 2GB per email, any additional space required will be charged on actual basis, according to the space or number of email id(s)

7.13 Disclaimer
If a Domain name is purchased by the Client through a company other than WebTech-Global, the Client has full responsibility in making sure that the domain name is renewed when due. WebTech-Global will not renew the Domain name when annual Hosting renewal is due if the Domain name is purchased through a company other than WebTech-Global

8. Diagnose & Fix

8.1 Diagnoses
In any project related to diagnoses of the issue in application, website, e-commerce website, there will be a fixed non refundable charge up to AUD 500 for Diagnoses and if user wish to move with probable solution/fix for the issue same will be chargeable on actual basis for which client agrees to pay as 50% advance (after adjusting fixed diagnoses charges )and 50% before publishing of final code to live server.

8.2 Disclaimer
WebTech-Global will not be responsible for any change occurring due to changes made while fixing the issue.

8.3 Guarantee
WebTech-Global does not guarantee the working of fix as suggested/done.

8.4 Additional Charges
Any additional change required as a consequence of fix, user shall be liable to pay the additional charges decided on the basis of complexity.

8.5 Publishing
Once the fix is published over the live server upon approval, there is no guarantee of the working of the fix or any consequence, any additional change after approval will be considered as a different project and will be charged separately.
